1. Introduction

Welcome to DANODALS.COM. These Terms of Service ("Terms") govern your use of our website and the services offered by DANODALS ("we", "us", or "our"). By accessing our website or purchasing our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Description

We provide the following specialized digital music production services:

• Custom Beats: The creation of original musical instrumentals based on client specifications and creative briefs. The goal is to produce a unique sound tailored to the artist's vision.
• Beat Remakes: The legal and creative reconstruction of an existing musical instrumental. This service is designed to provide artists with a legally distinct and safe version of a beat they admire, avoiding any potential copyright infringements from the original track.

3. User Accounts

To access certain features of our website, such as the client portal and chat functionality, you may be required to register for an account. We use Google Sign-In as our primary method of authentication. You are responsible for maintaining the confidentiality of your account and are fully responsible for all activities that occur under your account.

4. Payments and Merchant of Record

All payments for services provided by DANODALS are processed through our Merchant of Record, Paddle.com Market Limited ("Paddle"). Paddle is responsible for processing all payments, handling sales tax, and managing invoicing. By making a purchase, you are entering into an agreement with Paddle. We do not store or have access to your full payment card details.

5. Intellectual Property and Licensing

This clause is critical to understanding what you receive when you purchase a beat from DANODALS.

• Exclusive License: Upon our receipt of your final and full payment for a Custom Beat or Beat Remake, you are granted an exclusive, worldwide, royalty-free license to use the final digital audio product (the "Beat").
• Permitted Uses: This exclusive license allows you to use the Beat for any commercial or non-commercial purposes, including but not limited to: recording vocals over the Beat, releasing the resulting song on streaming platforms (e.g., Spotify, Apple Music), performing the song live, and using it in music videos.
• Prohibited Uses: This license does not permit you to resell, lease, or license the Beat itself as a standalone instrumental product. You are purchasing the rights to use the Beat as part of your own new musical creation.
• Portfolio Rights: We, DANODALS, retain the right to use the Beat in our portfolio to showcase our work. This usage will be for promotional purposes only and will not interfere with your exclusive rights.

6. Revisions and Delivery

The number of revisions included in a project will be agreed upon before the start of the work. We will work with you to ensure the final product meets your satisfaction within the agreed-upon scope. Final files will be delivered digitally upon completion and final payment.

7. Limitation of Liability

To the fullest extent permitted by law, DANODALS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Colombia, without regard to its conflict of law principles.
